Terms of Use

These Terms of Use (“Terms”) set out the conditions governing access to and use of the Cyse website, marketplace platform, AI systems, applications, content, and related services (collectively referred to as the “Services”). They establish the legal framework under which the Services are made available, define the rights and obligations of users, and outline the standards of conduct expected when interacting with the Cyse platform.

Cyse operates as a global cybersecurity marketplace and technology provider. We recognise that the Services may facilitate professional engagements, contractual relationships, and security-related decision-making. Accordingly, these Terms apply to all individuals and organisations accessing or using the Services and form part of our broader legal, governance, and compliance framework. By accessing or using the Services, you agree to be legally bound by these Terms.

1.   Definitions

In these Terms, the following definitions apply. Defined terms may appear in quotation marks and will have the meaning set out below, whether used in singular or plural form.

“Cyse”, “we”, “us”, or “our” refers to Cyse Ltd and any related entities operating the Services. “You” or “User” refers to any person or entity that accesses, browses, registers for, or uses the Services.

“Services” includes the Cyse website, marketplace, applications, content, documentation, onboarding flows, APIs (if any), AI Systems, community features, and any related tools, communications, and support channels.

“Marketplace” means the platform functionality that enables organisations (“Customers”) and cybersecurity professionals or providers (“Experts”) to connect, communicate, and potentially enter into independent contractual engagements.

“AI Systems” refers to any artificial intelligence, automation, agentic workflows, recommendations, scoring, matching, summarisation, classification, or similar functionality made available through the Services.

“Content” includes text, graphics, logos, designs, software, data, materials, and other information displayed on or made available through the Services, including user-submitted content where applicable.



2.   Eligibility

You may only use the Services if you are legally capable of forming a binding contract with Cyse in your jurisdiction. The Services are intended for professional and commercial use. By using the Services, you represent and warrant that you meet the eligibility criteria below.

  • You are at least 18 years old (or the age of majority where you live).
  • You have the legal capacity to enter into these Terms.
  • If using the Services on behalf of an organisation, you have authority to bind that organisation to these Terms.

We may refuse access, suspend accounts, or restrict certain features where we reasonably believe a user is not eligible, is acting without authority, or is attempting to use the Services in a manner inconsistent with these Terms or applicable law.



3.   Account Registration

Certain features of the Services may require you to create an account, submit onboarding information, or verify certain details. You agree to provide accurate, current, and complete information and to keep it updated so it remains truthful and not misleading.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, whether or not authorised by you. You must promptly notify Cyse if you suspect unauthorised access, credential compromise, or account misuse.

  • Do not share passwords or authentication tokens.
  • Use strong authentication where available.
  • Ensure only authorised personnel within your organisation access organisational accounts.
  • Do not create accounts using false identities or misrepresentations.

Cyse may suspend, restrict, or terminate accounts where we identify fraud, suspicious behaviour, policy violations, or activity that may expose Cyse, users, or third parties to risk.



4.   Marketplace Nature of Services

Cyse operates primarily as a technology platform and marketplace that facilitates introductions and interactions between Customers and Experts. Unless explicitly stated otherwise in writing, Cyse does not act as an employer, agent, partner, broker, or representative for any Marketplace participant.

Any engagement, statement of work, deliverable, pricing arrangement, scope agreement, NDA, or other contract formed between Marketplace participants is solely between those participants. Cyse is not a party to such agreements and does not assume responsibility for performance, deliverable quality, regulatory compliance, or dispute outcomes between Users.

Users are solely responsible for conducting their own due diligence, ensuring appropriate contractual protections are in place, and confirming that any engagement complies with applicable laws (including professional services, export controls, privacy, and cybersecurity regulations).



5.   Acceptable Use

You agree to use the Services responsibly, lawfully, and in a manner that does not compromise the security, availability, or integrity of the Services, other users, or third parties. You must not use the Services to facilitate wrongdoing, prohibited security testing, or harmful activity.

You agree not to:

  • Use the Services for unlawful purposes or to violate any applicable law or regulation.
  • Conduct unauthorised penetration testing, exploitation, scanning, or similar activity against systems you do not own or have explicit permission to test.
  • Upload, transmit, or distribute malware, spyware, ransomware, or other harmful code.
  • Harass, threaten, defame, or abuse other users, or engage in discriminatory conduct.
  • Attempt to bypass, disable, or interfere with security controls, access restrictions, rate limits, or authentication mechanisms.
  • Misrepresent credentials, accreditation status, identity, affiliations, or experience.
  • Reverse engineer, scrape at scale, or attempt to extract source code, models, or proprietary logic except to the extent permitted by law.

Cyse may investigate suspected misuse and may suspend or terminate access without notice where we reasonably believe the Services are being used in a way that is harmful, unlawful, or inconsistent with these Terms.



6.   AI System Usage

The Services may include AI Systems that generate outputs such as suggestions, summaries, classifications, risk indicators, or other content. AI outputs are probabilistic by nature and may be incomplete, inaccurate, outdated, or inappropriate for a particular purpose.

You acknowledge and agree that AI outputs do not constitute professional advice, security assurance, legal advice, or a substitute for human judgement. You remain solely responsible for verifying outputs, validating assumptions, and determining whether an output is suitable for use in your environment.

Cyse may introduce safeguards such as content filtering, audit logs, confidence indicators, human-in-the-loop workflows, or restrictions on certain uses. You agree not to attempt to circumvent these safeguards.

To the maximum extent permitted by law, Cyse disclaims liability for decisions, actions, or outcomes taken in reliance on AI outputs.



7.   Professional Responsibility

Experts using the Marketplace are expected to act professionally and ethically. Where Experts represent specific certifications, accreditations, or professional status, they must ensure those representations are accurate and not misleading.

Experts warrant that they will perform services with reasonable care and skill, act within the agreed scope, and comply with all applicable laws, professional obligations, and industry standards relevant to the engagement.

  • Operate within authorised scope and written approvals.
  • Maintain confidentiality and protect customer data.
  • Avoid conflicts of interest and disclose them where applicable.
  • Comply with export controls, sanctions regimes, and restricted-party rules where relevant.

Customers remain responsible for ensuring Experts are appropriately qualified for their specific use case, and for ensuring contractual scope, approvals, and access controls are properly established before work begins.



8.   Fees & Payments

Certain Services may be provided for a fee, including subscriptions, platform access, marketplace fees, or other charges. Fees and billing terms will be presented at the point of purchase, onboarding, or in a separate service order, plan description, or written agreement.

Unless otherwise stated, fees are exclusive of taxes, levies, duties, or similar government assessments. You are responsible for any applicable taxes associated with your use of the Services.

Cyse reserves the right to modify pricing, introduce new fees, or change plan features with reasonable notice (for example by posting updates on the Services or notifying account administrators). Continued use after a fee change takes effect constitutes acceptance of the revised pricing.



9.   Intellectual Property

The Services, including all underlying software, architecture, workflows, AI Systems, designs, branding, and platform content, are owned by or licensed to Cyse and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from any part of the Services.

Users may submit content (for example profile information, service descriptions, or communications). You retain ownership of your content, but you grant Cyse a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and process such content solely for the purpose of operating, improving, and providing the Services.

Nothing in these Terms transfers ownership of Cyse intellectual property to you. Any feedback you provide may be used by Cyse without restriction or compensation.



10.   Confidentiality

During use of the Services, you may obtain confidential or sensitive information relating to Cyse or other users (including commercial, technical, pricing, security, or operational information). You agree to protect such information and not disclose it except where you have lawful basis to do so.

Where Users enter into NDAs or other confidentiality arrangements separately, those arrangements govern the confidentiality obligations between those parties. Cyse is not responsible for enforcing private NDAs between Marketplace participants.

Cyse may disclose information where required by law, court order, or regulatory request, or where necessary to protect the rights, safety, and security of Cyse, users, or the public.



11.   Data Protection

Cyse processes personal information in accordance with our Privacy Policy and applicable data protection and privacy laws. Depending on your location, this may include UK GDPR and the Data Protection Act 2018, EU GDPR (where applicable), relevant US state privacy laws (such as CCPA/CPRA), and the Australian Privacy Act 1988 and Australian Privacy Principles.

Where Cyse processes personal data on behalf of a business customer (for example where enterprise features are introduced), additional terms such as a Data Processing Addendum (DPA) may apply.

You are responsible for ensuring you have appropriate notices, consents, and legal basis to provide personal information to Cyse, including where you submit personal information relating to third parties.



12.   Limitation of Liability

The Services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. Cyse does not warrant that the Services will be uninterrupted, error-free, secure, or free from harmful components, or that defects will be corrected immediately.

To the maximum extent permitted by law:

  • Cyse shall not be liable for indirect, incidental, consequential, special, or punitive damages (including loss of profit, revenue, data, goodwill, or business interruption).
  • Cyse is not liable for outcomes arising from engagements between Marketplace participants, including service quality, deliverables, or disputes.
  • Cyse’s aggregate liability arising out of or relating to the Services will not exceed the total amount paid by you to Cyse for the Services in the twelve (12) months preceding the event giving rise to the claim (or £100 if you have not paid any fees).

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including (where applicable) liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.



13.   Indemnification

You agree to indemnify, defend, and hold harmless Cyse, its directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your breach of these Terms or any policies referenced herein.
  • Your misuse of the Services or use in violation of law.
  • Your content, including allegations that it infringes third-party rights.
  • Any dispute between you and another Marketplace participant.

Cyse reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification, in which case you agree to cooperate fully with Cyse in asserting any available defences.



14.   Termination

You may stop using the Services at any time. Cyse may suspend or terminate your access immediately where we reasonably believe you have breached these Terms, misused the Services, created risk to other users or Cyse, or where required to comply with law.

Upon termination, your right to use the Services will cease. Certain sections of these Terms will survive termination, including intellectual property, confidentiality, limitation of liability, indemnities, and dispute resolution provisions.



15.   Governing Law

Unless otherwise required by mandatory local law, these Terms are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction over disputes.

If you are a consumer resident in another jurisdiction, you may also benefit from mandatory consumer protection laws in your country of residence. Nothing in these Terms limits any rights you may have that cannot be waived under applicable law.



16.   Dispute Resolution

If a dispute arises, the parties agree to first attempt to resolve it in good faith through informal discussions. Where appropriate, Cyse may request that disputes be escalated to a designated contact or account administrator before formal legal proceedings are initiated.

Where legally permissible, Cyse may elect to resolve certain disputes through arbitration or alternative dispute resolution mechanisms. Nothing in this section prevents a party from seeking urgent injunctive relief where necessary to prevent irreparable harm or protect security.



17.   Force Majeure

Cyse will not be liable for any delay or failure to perform resulting from events beyond its reasonable control, including but not limited to natural disasters, acts of government, labour disputes, supply chain disruption, internet or hosting outages, power failures, civil unrest, terrorism, or cyber incidents (including DDoS attacks or malicious interference).

Where a force majeure event occurs, Cyse will use reasonable efforts to restore Services and minimise disruption, but does not guarantee specific recovery timeframes unless agreed in a separate written service agreement.



18.   Changes to Terms

Cyse may update these Terms from time to time to reflect changes in the Services, legal requirements, security practices, or operational needs. The “Last Updated” date at the top of this page indicates when changes were last made.

Material changes will be communicated where reasonably practicable (for example via the website, account notice, or email to account administrators). Your continued use of the Services after an update takes effect constitutes acceptance of the updated Terms.
